These Terms of Use ("Terms") are a legal agreement between you and Northeld Ltd ("Northeld", "we", "us", "our") governing your use of the Northeld game and related services (the "Game"). By downloading, accessing or playing Northeld, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Game.
1.Eligibility
You must be at least 13 years old to play Northeld. If you are between 13 and 18, you confirm that your parent or guardian has reviewed and agreed to these Terms and consents to any purchases you make.
2.Licence to play
We grant you a personal, limited, non-exclusive, non-transferable and revocable licence to download and play Northeld for your own private, non-commercial entertainment, subject to these Terms and the relevant app store's terms. We and our licensors keep all rights not expressly granted to you.
3.Your account
You can play anonymously, or create an optional account (email and password) to back up and recover your progress across devices. You are responsible for keeping your login details secure and for activity that happens under your account. Please tell us at info@northeld.com if you suspect unauthorised use. You must provide accurate information, must not impersonate anyone, and must not choose a username that is offensive, misleading or infringes someone else's rights.
4.Virtual items and virtual currency
The Game includes virtual currency (such as gems) and virtual items. These:
- have no real-world monetary value and cannot be exchanged for real money or transferred outside the Game;
- are licensed to you, not sold, for use within the Game only;
- may be changed, regulated, removed or stopped by us at any time; and
- are, except where the law or the app store requires otherwise, non-refundable once purchased.
Unused virtual items and currency may be lost if your account is terminated or the Game is discontinued, subject to your non-excludable legal rights.
5.Purchases, billing and subscriptions
In-app purchases are sold and processed by Apple (App Store) or Google (Google Play) under their terms and using their payment methods. We do not receive or store your payment-card details.
Auto-renewing subscriptions (e.g. the Monthly Pass)
- Subscriptions renew automatically at the end of each period at the then-current price, and your store account is charged within 24 hours before the period ends — unless you cancel at least 24 hours before it renews.
- You can manage or cancel a subscription any time in your App Store or Google Play account settings.
- Cancellation takes effect at the end of the current billing period; partial periods are not refunded except where required by law.
- Prices may change; where the stores or the law require, we will ask for your renewed consent.
Refund requests are handled by Apple or Google under their policies. Nothing in these Terms affects your statutory rights as a consumer.
6.Acceptable use
You agree not to:
- cheat, exploit bugs, use bots or automation, or otherwise modify the Game to gain an unfair advantage;
- reverse engineer, decompile or tamper with the Game, except to the extent the law expressly allows;
- access the Game by unauthorised means or disrupt our or our providers' servers;
- use the Game unlawfully or in a way that infringes others' rights; or
- use offensive, infringing or misleading usernames or content.
We may suspend or terminate accounts that break these rules.
7.User content
Where you submit content (such as a username or display name), you grant us a worldwide, royalty-free licence to use it to operate the Game. You are responsible for that content and confirm you have the right to submit it.
8.Intellectual property
Northeld and all related content — code, art, characters, audio and trade marks — are owned by Northeld Ltd or its licensors (including third-party asset providers such as Unity Technologies and Synty Studios) and are protected by intellectual-property laws. You may not copy, distribute or create derivative works except as these Terms or the law allow.
9.Availability, updates and changes
The Game is provided as an evolving service. We may update, change, suspend or discontinue features (including online and cloud features) at any time. Your progress is stored on your device; cloud features rely on third-party services and may change. We will try to give reasonable notice of significant changes where we can.
10.Termination
You may stop using the Game and delete your account at any time (see the Privacy Policy for how to delete your data). We may suspend or terminate your access if you breach these Terms or for legal or operational reasons. When the agreement ends, your licence ends and virtual items or currency may be forfeited, subject to your non-excludable legal rights.
11.Disclaimers
The Game is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties such as merchantability and fitness for a particular purpose, and we do not warrant that the Game will be uninterrupted, error-free or free from data loss. Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded by law.
12.Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of data, profits or virtual items. Our total liability arising out of or relating to the Game is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) £50. Nothing limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited under applicable law.
13.Indemnity
To the extent permitted by law, you agree to cover reasonable losses we suffer arising from your misuse of the Game or your breach of these Terms. If you are a consumer, this applies only to losses caused by your deliberate or negligent breach.
14.App store terms (Apple & Google)
These Terms are between you and Northeld Ltd only — not Apple or Google — and we (not Apple or Google) are solely responsible for the Game.
Apple
- Apple has no obligation to provide maintenance or support for the Game.
- To the maximum extent permitted by law, Apple has no warranty obligation, and is not responsible for product-liability claims, any claim that the Game fails to conform to legal or regulatory requirements, or claims under consumer-protection or similar legislation.
- Apple is not responsible for addressing any third-party intellectual-property claims relating to the Game.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- You confirm you are not located in a country subject to a US Government embargo and are not on any US Government prohibited-parties list.
Your use of Northeld obtained through Google Play is also subject to the Google Play Terms of Service. Where a store's terms conflict with these Terms in relation to that store, the store's terms prevail.
15.Governing law and disputes
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer in the UK or EEA, you keep the benefit of any mandatory consumer protections of your country of residence and may bring proceedings in your local courts.
16.General
If any provision of these Terms is found unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any applicable store terms, are the entire agreement between you and us about the Game. We may update these Terms; the current version always lives at northeld.com/terms, and continuing to play after an update means you accept it.
